The 2KNFT project, referred to herein as '2KNFT', 'the project', or 'this project', is an initiative developed and managed by Mihai Lăzăruț 'I', 'me', or 'my'). All responsibilities, obligations, and commitments associated with 2KNFT are borne solely by me, Mihai Lăzăruț, as the project's creator and principal operator. References to '2KNFT' within these Terms and Conditions are to be understood as referring to the endeavors under the management and direction of Mihai Lăzăruț in his capacity as the project's sole proprietor and responsible party.

These Terms of Service govern your use of the website located at https://2knft.com and any related services provided by 2KNFT.

By accessing https://2knft.com, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by 2KNFT.

These Terms of Service are governed by and construed in accordance with the laws of Romania. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

This acceptable use policy covers the products, services, and technologies (collectively referred to as the "Products") provided by 2KNFT under any ongoing agreement. It’s designed to protect us, our customers and the general Internet community from unethical, irresponsible and illegal activity.

2KNFT customers found engaging in activities prohibited by this acceptable use policy can be liable for service suspension and account termination. In extreme cases, we may be legally obliged to report such customers to the relevant authorities.

We provide our facilities with the assumption your use will be "business as usual", as per our offer schedule. If your use is considered to be excessive, then additional fees may be charged or capacity may be restricted.

We are opposed to all forms of abuse, discrimination, rights infringement and/or any action that harms or disadvantages any group, individual or resource. We expect our customers and, where applicable, their users ("end-users") to likewise engage our Products with similar intent.

We regard our customers as being responsible for their own actions as well as for the actions of anyone using our Products with the customer’s permission. This responsibility also applies to anyone using our Products on an unauthorized basis as a result of the customer’s failure to put in place reasonable security measures.

By accepting Products from us, our customers agree to ensure adherence to this policy on behalf of anyone using the Products as their end users. Complaints regarding the actions of customers or their end-users will be forwarded to the nominated contact for the account in question.

If a customer — or their end-user or anyone using our Products as a result of the customer — violates our acceptable use policy, we reserve the right to terminate any Products associated with the offending account or the account itself or take any remedial or preventative action we deem appropriate without notice. To the extent permitted by law, no credit will be available for interruptions of service resulting from any violation of our acceptable use policy.

Our Referral Program at 2KNFT is designed to enhance transparency and security for our promoters while facilitating an efficient referral process. Here’s how it works:

• Joining the Referral Program: To participate in our referral program, you must contact us at promote@2knft.com or through our social media channels. We will request a name and an Ethereum address, to register you as a promoter.
• Smart Contract Registration: Each promoter's name and Ethereum address are recorded by us in a smart contract (Referral2KNFT), at 0xd732F8c3a197E975CC46BD122A9723C4Eac03ECf on Polygon. This step ensures every promoter is uniquely identified, and their referral activities are transparently and securely logged. The purpose of using a smart contract, is to generate a unique referral code for each promoter, ensuring clarity and security for everyone involved. Through our innovative referral mechanism, every promoter can easily demonstrate or validate ownership of their unique referral code. This transparency not only enhances trust within our community but also ensures that your efforts are recognized and rewarded appropriately.
• Unique Referral Codes: Upon registration, the smart contract generates a unique numerical referral code for each promoter. This code is crucial for tracking the referral's success. An example of a referral link might look like this: https://2knft.com/?ref=3412 , where "3412" represents the referral code.
• Tracking Referrals: When someone uses your referral link, the referral code is saved in their local storage. If they mint an NFT on our platform, the referral code is included in the minting transaction, allowing us to easily track on the blockchain who referred new users, how many NFTs they minted, the number of blocks used, and the Ether paid for each NFT.
• Referral Rewards: Once the 2KNFT collection is complete, and all 36,864 blocks have been minted, referral funds will be distributed to each promoter within 10 working days. Promoters earn a 20% commission on the block fee paid for each NFT minted using their referral code. A specialized program will generate a report for each referral code. Detailing the number of minted transactions, the amount paid, and the 20% owed to the promoter. For instance, when someone uses your referral link to mint an NFT and opts for one block, priced at approximately $10 in Ether, you're entitled to a 20% commission, netting you $2 in Ether. Should they choose to mint an NFT encompassing 25 blocks, your commission dramatically increases to $50 in Ether. This example highlights the program's rewarding scalability based on the number of blocks the minter chooses, demonstrating the significant earning potential as the scale of minting increases, and beyond.
• Timely Distribution of Referral Rewards: In the event that not all blocks from the 2KNFT collection are minted within 30 days from the project's launch, we implement a structured reward distribution phase. Starting from 30 days post-launch, and every subsequent 30-day interval if necessary, we will distribute the earned referral funds. This ensures that promoters who have contributed to the project's promotion up to that point are rewarded for their efforts, even if the collection is not fully minted. The distribution of these funds will occur within 10 working days following each 30-day period, guaranteeing timely compensation for our community's promoters. This approach aims to maintain momentum and incentivize ongoing promotion while ensuring that our promoters are fairly rewarded for their contributions at regular intervals.
• Persistent Referral Tracking: The referral code remains in the user's local storage, ensuring that future minting transactions still credit the original promoter. If a new referral link is used, the latest code is saved and utilized for subsequent minting activities.

This referral program is designed to reward our community members for spreading the word about 2KNFT and contributing to our project's growth. By participating, you're not only supporting us but also earning from your promotional efforts.

Our Block Price Adjustment Policy is designed to maintain the value of each block at approximately $10, ensuring a fair and stable pricing model for our users. This policy outlines the circumstances under which adjustments to the block price will be made, reflecting the dynamic nature of the cryptocurrency market and its impact on the Ether to USD exchange rate.

• Price Monitoring and Adjustment Criteria: The price of a block is subject to adjustment to mirror an approximate value of $10. These adjustments are based on fluctuations in the Ether to USD exchange rate. The trigger for a price adjustment is set at a 10% deviation from the target price, meaning that if the price per block falls below $9 or rises above $11, an adjustment will be considered necessary.
• Adjustment Mechanism: To implement a price adjustment, the "setBlockPrice" method in the Manager2KNFT smart contract will be utilized. This method allows for the efficient and effective modification of the block price in response to market conditions. The decision to limit adjustments to situations where the deviation exceeds 10% is a strategic one, aimed at minimizing the frequency of changes and avoiding unnecessary transaction costs associated with gas fees.
• Implementation and Notification: Upon the execution of a price adjustment through the Manager2KNFT smart contract, the change will be immediately reflected on our website. This ensures that the information presented to users is always accurate and up to date. Our approach eliminates the need for email notifications, streamlining the communication process and focusing on direct information availability through our platform.

This section provides a clear and comprehensive explanation of when and how the price of a block will be adjusted on the 2KNFT platform, ensuring users are well-informed of the platform's policies regarding pricing adjustments.

At 2KNFT, we aim to provide a clear and straightforward NFT minting experience. Understanding the payment process and minting fees is crucial for our users. Here's what you need to know:

• The act of minting NFTs involves adding transactions to the blockchain, incurring a fee known as the minting fee. These fees are essential for transaction inclusion on the blockchain and are determined by the blockchain's current workload and the data size of the transaction, not by 2KNFT.
• Minting fees are variable and depend on the number of blocks your NFT occupies. The larger your NFT, in terms of blocks, the higher the minting fee may be due to the increased amount of data processed and recorded on the blockchain.
• We price each block in Ether, targeting a cost close to $10. However, Ether's market price is subject to fluctuations, which means the actual cost in Ether for a block can vary, potentially being more or less than $10. To manage this, we use a "setBlockPrice" method to adjust the price in Ether according to current market rates, striving to keep the cost per block as stable as possible.
• While we work to make NFT creation accessible and cost-effective, it's important for creators to consider the potential variability in minting fees.

By engaging with 2KNFT for your NFT minting needs, you acknowledge and accept the structure of our payment and minting fees. We appreciate your trust in us and are excited to support your creativity in the NFT space.

Copyright infringement and access to unauthorized material

Our Products must not be used to transmit, distribute or store any material in violation of any applicable law. This includes but isn’t limited to:

• any material protected by copyright, trademark, trade secret or other intellectual property right used without proper authorization, and
• any material that is obscene, defamatory, constitutes an illegal threat or violates export control laws.

The customer is solely responsible for all material they input, upload, disseminate, transmit, create or publish through or on our Products, and for obtaining legal permission to use any works included in such material.

Our Products must not be used for the purpose of sending unsolicited bulk or commercial messages in violation of the laws and regulations applicable to your jurisdiction (“spam”). This includes but isn’t limited to sending spam, soliciting customers from spam sent from other service providers, and collecting replies to spam sent from other service providers.

Our Products must not be used for the purpose of running unconfirmed mailing lists or telephone number lists ("messaging lists"). This includes but isn’t limited to subscribing email addresses or telephone numbers to any messaging list without the permission of the email address or telephone number owner, and storing any email addresses or telephone numbers subscribed in this way. All messaging lists run on or hosted by our Products must be "confirmed opt-in". Verification of the address or telephone number owner’s express permission must be available for the lifespan of the messaging list.

We prohibit the use of email lists, telephone number lists or databases purchased from third parties intended for spam or unconfirmed messaging list purposes on our Products.

This spam and unauthorized message activity policy applies to messages sent using our Products, or to messages sent from any network by the customer or any person on the customer’s behalf, that directly or indirectly refer the recipient to a site hosted via our Products.

Our Products must not be used for the purpose of advertising, transmitting or otherwise making available any software, program, product or service designed to violate this acceptable use policy, or the acceptable use policy of other service providers. This includes but isn’t limited to facilitating the means to send spam and the initiation of network sniffing, pinging, packet spoofing, flooding, mail-bombing and denial-of-service attacks.

Our Products must not be used to access any account or electronic resource where the group or individual attempting to gain access does not own or is not authorized to access the resource (e.g. "hacking", "cracking", "phreaking", etc.).

Our Products must not be used for the purpose of intentionally or recklessly introducing viruses or malicious code into our Products and systems.

Our Products must not be used for purposely engaging in activities designed to harass another group or individual. Our definition of harassment includes but is not limited to denial-of-service attacks, hate-speech, advocacy of racial or ethnic intolerance, and any activity intended to threaten, abuse, infringe upon the rights of or discriminate against any group or individual.

Other activities considered unethical, exploitative and malicious include:

• Obtaining (or attempting to obtain) services from us with the intent to avoid payment;
• Using our facilities to obtain (or attempt to obtain) services from another provider with the intent to avoid payment;
• The unauthorized access, alteration or destruction (or any attempt thereof) of any information about our customers or end-users, by any means or device;
• Using our facilities to interfere with the use of our facilities and network by other customers or authorized individuals;
• Publishing or transmitting any content of links that incite violence, depict a violent act, depict child pornography or threaten anyone’s health and safety;
• Any act or omission in violation of consumer protection laws and regulations;
• Any violation of a person’s privacy.

Our Products may not be used by any person or entity, which is involved with or suspected of involvement in activities or causes relating to illegal gambling; terrorism; narcotics trafficking; arms trafficking or the proliferation, development, design, manufacture, production, stockpiling, or use of nuclear, chemical or biological weapons, weapons of mass destruction, or missiles; in each case including any affiliation with others whatsoever who support the above such activities or causes.

We have a zero-tolerance policy for Not Safe For Work (NSFW) content or any material of an obscene nature. This includes, but is not limited to, text, images, or links featuring nudity, sexual content, extreme violence, or graphically disturbing elements.

At 2KNFT, we are committed to maintaining a respectful and ethical digital environment. To uphold these standards, we have specific measures in place for handling NFTs that contain unethical content:

• If an NFT minted on our platform is found to contain unethical content, it will not be displayed on the 2knft.com website. This includes content that is offensive, discriminatory, or otherwise in violation of our community standards.
• The image of the NFT will be replaced with a generic red background, and access to its metadata - including the name, description, link, and original image - will be restricted.
• We will employ the "modifyTokenURI" method within our Smart Contract to effectively dissociate the unethical content from the NFT if the Smart Contract status is not already set to "Completed". This action ensures that the NFT's original metadata is no longer accessible or linked to the digital asset.
• Creators of NFTs that violate our ethical content guidelines will not receive any compensation or refund. This policy is in place to discourage the creation of unethical content and ensure that all NFTs minted on our platform adhere to our high standards of integrity and respect.
• We actively monitor the content being minted on our platform to ensure it aligns with our ethical standards. We reserve the right to take necessary action against any NFTs or users that violate these standards.

By minting NFTs on 2knft.com, users agree to these terms and acknowledge that failure to adhere to these standards will result in the outlined consequences. Our goal is to foster a creative, respectful, and legally compliant NFT community.

We prohibit the impersonation of 2KNFT, the representation of a significant business relationship with 2KNFT, or ownership of any 2KNFT property (including our Products and brand) for the purpose of fraudulently gaining service, custom, patronage or user trust.

Accessing and using the 2KNFT site is entirely at your discretion and risk. We provide our site, its content, our services, and products on an "as is" and "as available" basis, without any form of guarantee or warranty, explicit or implicit. This absence of warranties includes, but is not limited to, the implied warranties of merchantability, suitability for a specific purpose, ownership, and non-violation of rights.

We do not claim that the information on our site is precise, complete, reliable, up-to-date, or free from errors. Reporting Infringement:

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through our service, please notify our copyright agent with a written communication as detailed below:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Resolution:

Upon receiving a valid infringement notice, 2KNFT will promptly remove or disable access to the infringing material and take reasonable steps to notify the infringing user of the action. In case of a counter-notice, procedures in accordance with DMCA regulations will be followed to resolve the dispute.

2KNFT is committed to complying with copyright laws and ensuring that infringing content is removed from our platform.

The Terms of Use, together with all policies and operating rules we publish on or in relation to the Site, establish the full agreement and mutual understanding between you and us. Our failure to act upon or enforce any right or provision outlined in these Terms of Use does not constitute a waiver of that right or provision. These Terms are enforced to the greatest extent allowed by law.

We reserve the right to transfer our rights and duties under these Terms to any party at any time without notice to you, and we won't be held accountable for any losses, damages, delays, or failures to act that are beyond our control. Engaging with 2KNFT does not create any form of partnership, employment, or agency relationship between you and us. These Terms of Use are impartially constructed; the fact that we drafted them will not be used against us. By agreeing to these Terms, you waive any objections to the electronic nature of these agreements and the lack of a handwritten signature as execution.

Please note, at 2KNFT, we do not offer refunds. It’s important for our users to understand and accept this policy before engaging with our platform. Once you upload an image and any additional information for the purpose of minting an NFT, that action is considered final. Individuals who mint an NFT on 2KNFT will receive the minted NFT at the blockchain address used during the minting process. Furthermore, the responsibility for the content of the images placed within the NFT artwork rests solely with the user who uploaded them. 2KNFT does not assume responsibility for the images' content, ensuring that users maintain ownership and accountability for their contributions to the platform.

This policy outlines a non-exclusive list of activities and intent we deem unacceptable and incompatible with our brand.

We reserve the right to modify this policy at any time by publishing the revised version on our website.
